Interpretation: The words of which the initial letter is capitalized have meanings defined under the following conditions.
Definitions: For the purposes of these Terms:
Practice Management Tool: You acknowledge that the Service is a software tool designed to assist in the administrative and record-keeping aspects of your dental practice.
No Clinical Advice: The Service does not provide medical diagnoses or treatment advice. You remain solely responsible for all clinical decisions, diagnoses, treatments, and the professional care of your patients. The Company assumes no liability for the accuracy of clinical data entered into the system by You or your staff.
Your Role (Controller): As the Subscriber, You act as the Personal Information Controller (PIC) for all patient data entered into the Service. You warrant that you have obtained all necessary consents from your patients to collect and process their data in compliance with the Data Privacy Act of 2012 (RA 10173).
Our Role (Processor): We act solely as a Personal Information Processor (PIP). We process patient data only upon your instructions and to provide the features of the Service. We implement security measures to protect this data but do not own or control it.
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to your account. You are responsible for all activities that occur under your account, including actions taken by your staff members.
We strive to ensure the Service is available 24/7. However, We do not guarantee that the Service will be uninterrupted, secure, or error-free. Occasional downtime for maintenance or updates may occur. We are not liable for any business losses arising from such interruptions.
To the maximum extent permitted by applicable law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from Your access to or use of or inability to access or use the Service.
Liability Cap: In no event shall the Company's aggregate liability for all claims relating to the Service exceed the greater of the amount you paid the Company for the Service in the twelve (12) months preceding the claim, or a nominal amount if no fees were paid.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
These Terms shall be governed and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions.
